Centralised Sustainability Intelligence Terms and Conditions of Use

About the CSI Solution

The CSI Solution is Bursa Malaysia's digital sustainability platform through which Users may:

• access information, tools, modules, features and functionalities made available by Bursa Malaysia from time to time;
• discover, compare, evaluate, enquire about, select and access CSI Services offered by approved VAS Providers; and
• access the CSI Platform and such other products, services or functionalities as Bursa Malaysia may make available from time to time.

For the purposes of these Terms and Conditions:

• "CSI Platform" means Bursa Malaysia's platform providing modules, tools, functionalities and resources for ESG data management, sustainability reporting and other sustainability-related purposes;
• "CSI Services" means the suite of value-added services, tools and other offerings ("VAS Products") provided by approved third-party value-added service providers ("VAS Providers"); and
• "User" means any person who registers for, accesses or uses the CSI Solution.

As at the last Revision Date, the CSI Solution facilitates the display, discovery, marketing and offering of CSI Services by approved VAS Providers. The CSI Solution may also provide Users with access to the CSI Platform and such other products, services, features or functionalities as Bursa Malaysia may make available from time to time.

Access to and use of the CSI Platform may be subject to separate terms published by Bursa Malaysia. Where a User accesses or uses the CSI Platform, those terms shall apply in addition to these Terms and Conditions. In the event of any inconsistency, the terms applicable to the CSI Platform shall prevail in respect of the User's access to and use of the CSI Platform.

All VAS Products are provided by independent VAS Providers and may be subject to separate agreements, terms and conditions, privacy notices and policies imposed by the relevant VAS Provider.

Bursa Malaysia may update, modify, suspend, discontinue, remove or introduce any part of the CSI Solution, including any product, service, listing, content, module, feature, access mechanism or functionality, at any time.

Bursa Malaysia's Role

Bursa Malaysia operates the CSI Solution as a platform operator only, except where Bursa Malaysia expressly provides its own products, services, modules or functionalities under separate terms.

Bursa Malaysia is not the provider, seller, reseller, agent, broker, adviser, representative, contractor, partner or employer of any VAS Provider.

Bursa Malaysia does not provide, perform, supervise, control or manage any CSI Service provided by a VAS Provider.

Bursa Malaysia is not responsible for any VAS Provider's products, services, solutions, pricing, quotations, proposals, representations, advice, deliverables, support, performance, service quality, timelines, refunds, cancellations, disputes, contractual obligations or compliance obligations.

Any checks, onboarding, review, approval or listing process carried out by Bursa Malaysia in relation to a VAS Provider is for CSI Solution administration and listing purposes only. It does not constitute an endorsement, certification, warranty, guarantee or recommendation of that VAS Provider or its VAS Product.

Nothing in these Terms and Conditions limits Bursa Malaysia's right to determine, manage, modify or control the structure, branding, operations, features, access mechanisms or content of the CSI Solution.

VAS Providers and VAS Products

VAS Providers are independent third parties. Each VAS Provider is solely responsible for its own VAS Products and all information, documents, materials, descriptions, statements, proposals, pricing, terms and representations relating to those VAS Products.

You should make your own assessment before purchasing, subscribing to, engaging or using any VAS Product. This includes reviewing the VAS Provider's proposal, quotation, terms, privacy notice, statement of work, letter of engagement, order form, subscription terms or other applicable documents.

Bursa Malaysia does not guarantee that any VAS Product will meet your needs, requirements, objectives, compliance obligations, reporting requirements, business requirements or expected outcomes.

Bursa Malaysia does not guarantee the accuracy, completeness, reliability, availability, legality, suitability, quality, performance or outcome of any VAS Product.

No Endorsement

The listing, display, availability, ranking, promotion or inclusion of any VAS Provider or VAS Product on the CSI Solution does not mean that Bursa Malaysia endorses, certifies, recommends, approves, warrants or guarantees that VAS Provider or VAS Product.

Any badges, categories, descriptions, filters, comparisons, labels, rankings or other presentation features on the CSI Solution are provided for convenience only and should not be treated as professional advice, certification, endorsement or guarantee by Bursa Malaysia.

You remain responsible for deciding whether a VAS Provider or CSI Service is appropriate for you.

Engagements with VAS Providers

Any purchase, subscription, engagement, enquiry, proposal, quotation, letter of engagement, order form, statement of work, contract, service arrangement or other transaction relating to a VAS Product is solely between you and the relevant VAS Provider.

Bursa Malaysia is not a party to any arrangement between you and a VAS Provider, unless Bursa Malaysia expressly agrees otherwise in writing.

Any VAS Product you purchase, subscribe to, engage or use is governed by the terms agreed directly between you and the relevant VAS Provider.

Bursa Malaysia is not responsible for any act, omission, representation, breach, delay, failure, dispute, loss, damage, cost, liability or claim arising from or relating to your dealings with any VAS Provider.

Any complaints, disputes, refunds, cancellations, service issues, support requests or claims relating to a VAS Product should be raised directly with the relevant VAS Provider, unless Bursa Malaysia expressly provides a separate CSI Solution support channel for routing such matters.

Draft Document Pertaining to a VAS Product

CSI Solution may, upon a User's enquiry, request for information, selection of a VAS Product, generate, display, facilitate or provide access to draft documents, including draft proposals, quotations, summaries, letters of engagement, order forms, statements of work or similar documents ("Draft Documents").

Draft Documents are provided for convenience and for the User's reference only. Unless expressly stated and validly accepted or executed by the relevant parties, a Draft Document is not a binding contract.

Bursa Malaysia is not responsible for the content, accuracy, completeness, suitability, enforceability, stamping, execution or legal effect of any Draft Document between you and a VAS Provider.

You should review any Draft Document carefully and obtain your own legal, tax, financial, technical or professional advice where necessary before signing or accepting it.

User Accounts

You must provide complete, accurate and current registration information when creating an account.

You must register for and access the CSI Solution using your organisation-issued corporate email address or an email address designated for business purposes and not for personal use.

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.

Your Responsibilities

You must use the CSI Solution lawfully, responsibly and in accordance with these Terms and Conditions.

You must not:

• misuse, disrupt, damage, interfere with or attempt to gain unauthorised access to the CSI Solution or any related system;
• upload, submit, transmit or provide any false, misleading, inaccurate, unlawful, infringing, confidential, harmful or malicious information;
• use the CSI Solution for fraud, misrepresentation, unlawful activity, infringement of rights or any activity that may damage Bursa Malaysia, any VAS Provider or any third party;
• scrape, copy, reproduce, extract, download, republish, resell, commercially exploit or create derivative works from the CSI Solution or its content without Bursa Malaysia's prior written consent;
• introduce viruses, malware, harmful code or other technologies that may damage or interfere with the CSI Solution;
• bypass security, access controls, rate limits, technical restrictions or other protective measures; or
• use the CSI Solution in a way that breaches applicable laws, regulations, rules, directives or third-party rights.

You are responsible for the accuracy and lawfulness of any information you provide through the CSI Solution.

CSI Solution Listings and Content

The CSI Solution content may include information provided by Bursa Malaysia, VAS Providers or other third parties.

Bursa Malaysia may review, edit, reject, suspend, remove or update any listing or content at its discretion. However, Bursa Malaysia is not responsible for verifying all information provided by VAS Providers.

Bursa Malaysia does not warrant that listings, prices, descriptions, credentials, service scopes, availability, comparisons, ratings, documents or other information on the CSI Solution are accurate, complete, current or error-free.

You should verify relevant information directly with the relevant VAS Provider before making any decision.

Third-Party Websites, Tools and Terms

The CSI Solution may contain links, references or access to the CSI Platform, VAS Provider websites, portals, documents, payment channels, tools, applications or other third-party materials.

Third-party websites, tools, materials and services are not owned or controlled by Bursa Malaysia. Bursa Malaysia is not responsible for them.

Your access to or use of any third-party website, tool, material or service is at your own risk and subject to the relevant third party's terms, conditions, privacy notices and policies.

Intellectual property

Bursa Malaysia and/or its licensors retain all rights, title and interest in and to the CSI Solution, including its design, layout, software, databases, features, text, graphics, logos, trademarks, service marks and other content made available by Bursa Malaysia.

VAS Providers retain responsibility for, and any applicable rights in, the content and materials they provide for listing on the CSI Solution.

You may access and use the CSI Solution only for lawful browsing, discovery, enquiry and related purposes.

No rights are granted to you except as expressly stated in these Terms and Conditions. You must not use Bursa Malaysia's name, logo, trademarks or branding without Bursa Malaysia's prior written consent.

Personal Data and Privacy

Bursa Malaysia may collect, use, disclose and process personal data in connection with your access to or use of the CSI Solution in accordance with Bursa Malaysia's Personal Data Notice, available at https://www.bursamalaysia.com/personal_data_notice.

If you submit an enquiry, request, form, contact details or other information relating to a VAS Provider or VAS Product, Bursa Malaysia may share relevant information with the relevant VAS Provider for the purpose of responding to your enquiry, facilitating your requested engagement or operating the CSI Solution.

VAS Providers may process your personal data under their own privacy notices, terms and policies. Bursa Malaysia is not responsible for the privacy practices of VAS Providers or other third parties.

You must ensure that any personal data you provide to Bursa Malaysia is accurate and that you have the right to provide it.

Electronic Communications

Bursa Malaysia may communicate with you electronically, including through the CSI Solution, email, notices, pop-ups, banners or other electronic means.

While Bursa Malaysia may take reasonable steps to secure communications, electronic communications may be subject to risks, including unauthorised access, interception, modification, delay or transmission failure.

Availability, Security and Suspension

Bursa Malaysia does not guarantee that the CSI Solution or any access mechanism to the CSI Platform and/or CSI Services will always be available, uninterrupted, secure, error-free or free from defects.

Bursa Malaysia may suspend, restrict, block or terminate your access to the CSI Solution at any time if Bursa Malaysia considers it necessary or appropriate for legal, regulatory, operational, security, reputational, risk management, policy or business reasons.

Bursa Malaysia may remove, restrict or suspend any listing, content, feature, VAS Provider or VAS Product from the CSI Solution at any time.

Bursa Malaysia may take any steps it considers appropriate to protect the CSI Solution, Bursa Malaysia, VAS Providers, Users or third parties.

Disclaimers

THE CSI SOLUTION, AND ANY RELATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, WHETHER ORAL OR WRITTEN, EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, BURSA MALAYSIA DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, GUARANTEES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY AND SECURITY.

BURSA MALAYSIA DOES NOT WARRANT THAT:

• THE CSI SOLUTION WILL MEET YOUR NEEDS OR REQUIREMENTS;
• THE CSI SOLUTION WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR FREE FROM HARMFUL COMPONENTS;
• INFORMATION ON THE CSI SOLUTION WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT OR SUITABLE; OR
• ANY DEFECTS, ERRORS OR FAULTS WILL BE CORRECTED.

BURSA MALAYSIA DOES NOT PROVIDE FINANCIAL, TAX, ACCOUNTING, LEGAL, REGULATORY, SUSTAINABILITY, TECHNICAL, INVESTMENT OR OTHER PROFESSIONAL ADVICE THROUGH THE CSI SOLUTION.

ANY DECISION YOU MAKE BASED ON THE CSI SOLUTION, OR ANY VAS PROVIDER INFORMATION IS MADE AT YOUR OWN RISK.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BURSA MALAYSIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE LOSS OR DAMAGE, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, REPUTATION, ANTICIPATED SAVINGS, DATA OR USE.

BURSA MALAYSIA SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, COST, LIABILITY OR CLAIM ARISING FROM OR RELATING TO:

• ANY VAS PROVIDER OR VAS PRODUCT;
• ANY PURCHASE, SUBSCRIPTION, ENGAGEMENT, CONTRACT, LETTER OF ENGAGEMENT, ORDER FORM, PROPOSAL, STATEMENT OF WORK OR ARRANGEMENT BETWEEN YOU AND A VAS PROVIDER;
• ANY ACT, OMISSION, DELAY, BREACH, REPRESENTATION, ADVICE, DELIVERABLE, SUPPORT, DISPUTE, REFUND OR CANCELLATION BY A VAS PROVIDER;
• YOUR RELIANCE ON ANY LISTING, CONTENT, INFORMATION, DOCUMENT OR THIRD-PARTY MATERIAL ON THE CSI SOLUTION;
• ANY INTERRUPTION, SUSPENSION, RESTRICTION, DISCONTINUATION, ERROR, DEFECT, CYBER INCIDENT OR UNAVAILABILITY OF THE CSI SOLUTION OR ACCESS TO THE CSI PLATFORM THROUGH THE CSI SOLUTION; OR
• ANY THIRD-PARTY WEBSITE, TOOL, SYSTEM, SERVICE OR MATERIAL.

SUBJECT TO CLAUSE 16.4, BURSA MALAYSIA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS AND CONDITIONS OR THE CSI SOLUTION SHALL NOT EXCEED RINGGIT MALAYSIA ONE HUNDRED (RM100).

NOTHING IN THESE TERMS AND CONDITIONS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnity

YOU AGREE TO INDEMNIFY AND HOLD HARMLESS BURSA MALAYSIA, ITS RELATED CORPORATIONS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND REPRESENTATIVES FROM AND AGAINST ANY CLAIMS, LOSSES, DAMAGES, LIABILITIES, COSTS AND EXPENSES ARISING OUT OF OR IN CONNECTION WITH:

• YOUR BREACH OF THESE TERMS AND CONDITIONS;
• YOUR MISUSE OF THE CSI SOLUTION;
• ANY INFORMATION, CONTENT OR MATERIAL YOU PROVIDE THROUGH THE CSI SOLUTION;
• YOUR BREACH OF APPLICABLE LAWS OR THIRD-PARTY RIGHTS; OR
• YOUR DEALINGS WITH ANY VAS PROVIDER.

Force Majeure

In no event shall Bursa Malaysia be liable or responsible to you for any delay or failure to perform its obligations to the extent such delay or failure are due to acts beyond the reasonable control of Bursa Malaysia.

Assignment and Novation

You shall not assign, transfer, novate or otherwise deal with any of your rights or obligations under these Terms and Conditions, or transfer your account, without Bursa Malaysia's prior written consent.

Waiver and Cumulative Remedies

Any waiver of a right or remedy under these Terms and Conditions must be in writing and signed by the waiving party. The rights and remedies under these Terms and Conditions are cumulative and do not exclude any rights or remedies provided by law, equity or otherwise.

Severability

Any provisions of these Terms and Conditions held to be unenforceable, illegal or otherwise invalid under the law will not affect the other provisions of these and these Terms and Conditions will be construed as if the unenforceable, illegal or invalid provisions had never formed part of these Terms and Conditions.

Entire Agreement

These Terms and Conditions constitute the entire agreement between us in respect of your access and use of the CSI Solution and supersedes all prior agreements and understandings made between us in relation to your access and use of the CSI Solution.

Amendments

These Terms and Conditions may be amended from time to time and you will be notified of such amendments. By clicking on the 'I agree' button in the popup message notifying you of the latest amendment to these Terms and Conditions or otherwise by continuing to use the CSI Solution, you agree to be bound by these Terms and Conditions as amended.

Survival

Any provisions which by their nature should survive termination or expiry of these Terms and Conditions shall continue to apply.

Governing Law and Jurisdiction

These Terms and Conditions are governed by Malaysian law and you submit to the exclusive jurisdiction of the Malaysian courts.
